Terms of Service
Version: 2026-10-01
These terms govern the use of Kanroo Cloud, the hosted Kanroo service, provided by TECHPOINT, Seestraße 3, 82211 Herrsching am Ammersee, Bavaria, Germany (“Kanroo”, “we”, “us”). Contact details are in the imprint at https://kanroo.app/legal/imprint/.
1. Business customers only
1.1 Kanroo Cloud is offered only to businesses within the meaning of § 14 of the German Civil Code (BGB): natural or legal persons who act in their trade, business, or profession. We do not offer a contract to consumers.
1.2 By accepting these terms, you confirm that you use Kanroo Cloud for business purposes. If you act for an organization, you confirm that you may bind it to these terms.
1.3 General terms of the customer do not apply, even if we do not object to them.
2. Contract and accounts
2.1 The contract starts when you create an account and accept these terms. If your organization uses company login, its owner accepts these terms for the organization and its members. An account that you create only to send a report or a contact form concludes no contract for the use of Kanroo Cloud.
2.2 An account belongs to one person. Keep your sign-in codes, API keys, and other credentials secret. You are responsible for actions taken with them.
2.3 An organization is the workspace in which members work together. The owner of an organization is responsible for its members, its settings, and the content in it.
3. Plans and prices
3.1 Kanroo Cloud has a Free plan and paid plans. Every plan includes every feature. Paid plans raise limits. The plans, prices, and limits are described at https://kanroo.app/pricing/.
3.2 Prices are net. Applicable taxes are added at checkout.
3.3 Paid plans are sold by Polar Software, Inc. as merchant of record. The purchase, payment, invoices, taxes, refunds, and cancellation of a subscription are governed by Polar’s terms. Enterprise plans are agreed in a separate contract.
3.4 If a paid plan ends, the organization keeps its data. It continues with the limits that https://kanroo.app/pricing/ describes for that case; audit log entries older than the new plan’s retention and page revisions above its limit expire.
4. Acceptable use
4.1 Use Kanroo Cloud for the work of your organization and in line with the law and the Fair Usage Policy at https://kanroo.app/legal/fair-usage/, which is part of these terms.
4.2 In particular, you must not:
- store, publish, or share illegal content, including content that infringes the rights of others;
- distribute malware, phishing pages, or spam, also through public boards, forms, or shares;
- use Kanroo Cloud as a file host, backup service, or content delivery network;
- get around plan limits, for example with several accounts for the same group of people;
- attack, probe, or overload the service, or access data of other customers;
- resell the service without our written consent.
4.3 Kanroo Cloud has no aggregate storage cap. Fair usage applies instead, as the Fair Usage Policy describes.
5. Content moderation and reports
5.1 Point of contact. Authorities, users, and other persons can reach us about content and these terms at abuse@kanroo.app. We communicate in English and German.
5.2 Reporting content. Report content that you consider illegal or against these terms through our report form. Public pages of Kanroo Cloud show a “Report content” link that opens this form with the address of the page. You can also write to abuse@kanroo.app. A report should contain:
- the exact URL of the content;
- why you consider the content illegal or against these terms;
- your name and email address, unless the report concerns child sexual abuse material; the form confirms your email address when you sign in;
- a statement that the information in the report is accurate and complete to the best of your knowledge.
We confirm receipt, check every report in a timely, careful, and objective manner, and tell you our decision. We review every report; we do not use automated moderation.
5.3 Our measures. If content is illegal or against these terms, we can, depending on the case:
- ask the organization owner to remove it;
- take public content offline: we make a board private, deactivate its forms, or revoke wiki shares; nothing is deleted;
- in severe or repeated cases, restrict or suspend the account or the organization, or terminate the contract under section 9.
5.4 Statement of reasons. When we restrict content or an account, we inform the organization owner, or the affected user for a measure against an account, by email with a clear statement of the reasons. It names the measure, the facts it is based on, the legal ground or the term concerned, and how to contest it. You can contest our decision by replying to that email, and you can take legal action at any time.
5.5 Suspension. While an account or an organization is suspended, sign-in and use are blocked, including the export functions and the billing portal. We keep the data. On request through our contact form, we provide an export or delete the data, and we end a paid subscription at the end of its current billing period. There is no refund for the suspended time if the suspension was justified.
6. Your data
6.1 Your content remains yours. You grant us the rights we need to host, process, and display it to provide the service.
6.2 We process personal data in your content on your behalf under the data processing agreement at https://kanroo.app/legal/dpa/, which is part of these terms. Our own processing is described in the privacy policy at https://kanroo.app/legal/privacy/.
6.3 You can export your data at any time with the export functions of the service, except during a suspension (section 5.5). When an organization is deleted, we delete its data. When you delete your account, we delete your account data; content you wrote in organizations that continue to exist stays there without your name. Copies in backups expire after 30 days.
6.4 Webhooks, API keys, and integrations that you configure send data to the destinations you choose. You are responsible for these destinations.
7. Availability
7.1 We operate Kanroo Cloud with care, but we do not promise a specific availability. There is no service level agreement.
7.2 We may change, improve, or remove features, as long as the core purpose of the service stays the same. Maintenance can interrupt the service for short periods.
8. Liability
8.1 We are liable without limitation for intent and gross negligence, for injury to life, body, or health, under the German Product Liability Act, and under any guarantee we have given.
8.2 For slight negligence, we are liable only for a breach of an essential contractual obligation, that is, an obligation whose fulfillment makes the proper performance of the contract possible and on which you may regularly rely. In that case, our liability is limited to the damage that is typical and foreseeable for this type of contract.
8.3 You are responsible for keeping your own copies of data that is important to you. Our liability for loss of data is limited to the effort that would have been needed to restore the data from such copies.
8.4 These limits also apply to our employees, representatives, and agents.
9. Term and termination
9.1 The contract runs for an indefinite period. You can end it at any time by deleting your account, except during a suspension (section 5.5). A paid subscription ends at the end of its billing period after you cancel it in the billing portal.
9.2 We can end a contract for the Free plan with 30 days’ notice by email.
9.3 Both parties can end the contract without notice for good cause. Good cause for us includes a serious or repeated breach of section 4.
9.4 The contract also ends under section 10.4 if you do not accept a changed version of these terms by its effective date.
10. Changes to these terms
10.1 We can change these terms for valid reasons, for example a change in the law or in the service. A changed version receives a new version date and an effective date.
10.2 We announce a changed version at least 30 days before its effective date by email to the address of your account and publish it at https://kanroo.app/legal/terms/ together with a summary of the changes. Until the effective date, the previous version applies.
10.3 Kanroo Cloud shows you the changed version at your next sign-in. Until the effective date, you can postpone the decision and continue to use Kanroo Cloud unchanged, including the export of your data under section 6.3. From the effective date, you can use Kanroo Cloud again only after you have accepted the changed version.
10.4 If you do not accept the changed version, you cannot use Kanroo Cloud until you do; your account and any subscription continue. You can end the contract at any time under section 9.1. If the acceptance dialog blocks you, write to us through our contact form and we end the subscription and provide an export or delete your data for you.
10.5 If you end the contract because you do not accept the changed version, we refund through Polar (section 3.3) the share of a subscription that you have already paid for the time after the effective date.
11. Final provisions
11.1 German law applies. The UN Convention on Contracts for the International Sale of Goods does not apply.
11.2 If you have no general place of jurisdiction in Germany, the exclusive place of jurisdiction is Munich, Germany. Otherwise the statutory place of jurisdiction applies.
11.3 These terms are written in English. A translation is for information only; the English version prevails.
11.4 If a provision is invalid, the rest of these terms remains valid.
